1. Accepting These Terms

This document and the other documents that we reference below make up our Terms of Use, or our “Terms” for short.

The Terms are a legally binding contract between you and the Manitou Springs Chamber of Commerce (ManitouMade.com). By agreeing to the Terms, you agree to waive any right to have those disputes decided by a judge or jury, and that you waive your right to participate in class actions, class arbitrations, or representative actions.

This contract sets out your rights and responsibilities when you use ManitouMade.com, our mobile apps, and the other services provided by Manitou Springs Chamber of Commerce (ManitouMade.com) (we’ll refer to all of these collectively as our “Services”), so please read it carefully. By using any of our Services, you’re agreeing to the Terms. If you don’t agree with the Terms, you may not use our Services.

Our Terms for Everyone. If you use any of our Services, you agree to these Terms, our Privacy Policy, and our Anti-Discrimination Policy.

Our Terms for Sellers (see below). If you list any items for sale through our Services, these policies apply to you.

Our Terms for Buyers (see below). If you use our Services to browse or shop, these policies apply to you. All of these policies are a part of our Terms, so be sure to read the ones that are relevant for you. Of course, you’ll still want to read the rest of this document because it applies to everyone!

2. Your Privacy

We know your personal information is important to you, so it’s important to us. Our Privacy Policy details how your information is used when you use our Services. By using our Services, you’re also agreeing that we can process your information in the ways set out in the Privacy Policy.

Both Manitou Springs Chamber of Commerce (ManitouMade.com) and sellers process members’ personal information (for example, buyer name, email address, and shipping address) and are therefore considered separate and independent data controllers of buyers’ personal information under US law. That means that each party is responsible for the personal information it processes in providing the Services. For example, if a seller accidentally discloses a buyer’s name and email address when fulfilling another buyer’s order, the seller, not Manitou Springs Chamber of Commerce (ManitouMade.com), will not be responsible for that unauthorized disclosure.

If, however, Manitou Springs Chamber of Commerce (ManitouMade.com) and sellers are found to be joint data controllers of buyers’ personal information, and if Manitou Springs Chamber of Commerce (ManitouMade.com) is sued, fined, or otherwise incurs expenses because of something that you did as a joint data controller of buyer personal information, you agree to indemnify Manitou Springs Chamber of Commerce (ManitouMade.com) for the expenses it occurs in connection with your processing of buyer personal information.

4.Your Account with Manitou Springs Chamber of Commerce (ManitouMade.com)

You’ll need to create an account with Manitou Springs Chamber of Commerce (ManitouMade.com) to use some of our Services. Here are a few rules about accounts with Manitou Springs Chamber of Commerce (ManitouMade.com):

  1. You must be 18 years or older to use our Services. Minors under 18 and at least 13 years of age are only permitted to use our Services through an account owned by a parent or legal guardian with their appropriate permission and under their direct supervision. Children under 13 years are not permitted to use Manitou Springs Chamber of Commerce (ManitouMade.com) or the Services. You are responsible for any and all account activity conducted by a minor on your account.
  2. Be honest with us. Provide accurate information about yourself. It’s prohibited to use false information or impersonate another person or company through your account.
  3. Choose an appropriate name. If you decide to not have your full name serve as the name associated with your account, you may not use language that is offensive, vulgar, infringes someone’s intellectual property rights, or otherwise violates the Terms.
  4. You’re responsible for your account. You’re solely responsible for any activity on your account. If you’re sharing an account with other people, then the person whose financial information is on the account will ultimately be responsible for all activity. If you’re registering as a business entity, you personally guarantee that you have the authority to agree to the Terms on behalf of the business. Also, your accounts are not transferable.
  5. Protect your password. As we mentioned above, you’re solely responsible for any activity on your account, so it’s important to keep your account password secure.
  6. Let’s be clear about our relationship. These Terms don’t create any agency, partnership, joint venture, employment, or franchisee relationship between you and Manitou Springs Chamber of Commerce (ManitouMade.com).

5. Your Content

Content that you post using our Services is your content (so let’s refer to it as “Your Content”). We don’t make any claim to it, which includes anything you post using our Services (like shop names, profile pictures, listing photos, listing descriptions, reviews, comments, videos, usernames, etc.).

  1. Responsibility for Your Content. You understand that you are solely responsible for Your Content. You represent that you have all necessary rights to Your Content and that you’re not infringing or violating any third party’s rights by posting it.
  2. Permission to Use Your Content. By posting Your Content through our Services, you grant Manitou Springs Chamber of Commerce (ManitouMade.com) a license to use it. We don’t claim any ownership to Your Content, but we have your permission to use it to help Manitou Springs Chamber of Commerce (ManitouMade.com) function and grow. That way, we won’t infringe any rights you have in Your Content and we can help promote it.
  3. Rights You Grant Manitou Springs Chamber of Commerce (ManitouMade.com). By posting Your Content, you grant Manitou Springs Chamber of Commerce (ManitouMade.com) a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of Your Content. This allows us to provide the Services and to promote Manitou Springs Chamber of Commerce (ManitouMade.com), your Manitou Springs Chamber of Commerce (ManitouMade.com) shop, or the Services in general, in any formats and through any channels, including across any Manitou Springs Chamber of Commerce (ManitouMade.com) Services, our partners, or third-party website or advertising medium. You agree not to assert any moral rights or rights of publicity against us for using Your Content. You also recognize our legitimate interest in using it, in accordance with the scope of this license, to the extent Your Content contains any personal information.
  4. Reporting Unauthorized Content. If Your Content is alleged to infringe another person’s intellectual property, we will take appropriate action, such as disabling it if we receive proper notice or terminating your account if you are found to be a repeat infringer. We’ll notify you if any of that happens.
  5. Inappropriate, False, or Misleading Content. This should be common sense, but there are certain types of content we don’t want posted on Manitou Springs Chamber of Commerce (ManitouMade.com)’s Services (for legal reasons or otherwise). You agree that you will not post any content that is abusive, threatening, defamatory, obscene, vulgar, or otherwise offensive or in violation of our *Prohibited Items Policy, or any part of our Terms. You also agree not to post any content that is false and misleading or uses the Services in a manner that is fraudulent or deceptive.

6. Your Use of Our Services

License to Use Our Services. We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services—subject to the Terms and the following restrictions in particular:

  1. Don’t Use Our Services For Illegal Activities. You agree that you will not violate any laws in connection with your use of the Services. This includes any local, state, federal, and international laws that may apply to you. For example, it’s your responsibility to obtain any permits or licenses that your shop requires; you may not sell anything that violates any laws; you must comply with our Sanctions Policy, and you may not engage in fraud (including false claims or infringement notices), theft, anti-competitive conduct, threatening conduct, or any other unlawful acts or crimes against Manitou Springs Chamber of Commerce (ManitouMade.com), another Manitou Springs Chamber of Commerce (ManitouMade.com) user, or a third party.
  2. Pay Your Bills. You are solely responsible for collecting and/or paying any applicable taxes for any purchases or sales you make through our Services.
  3. Share Your Ideas. We love your suggestions and ideas! They can help us improve your experience and our Services. Any unsolicited ideas or other materials you submit to Manitou Springs Chamber of Commerce (ManitouMade.com) (not including Your Content or items you sell through our Services) are considered non-confidential and non-proprietary to you. You grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.
  4. Talk to Us Online. From time to time, Manitou Springs Chamber of Commerce (ManitouMade.com) will provide you with certain legal information in writing. By using our Services, you’re agreeing that we can send you information electronically (such as by email) instead of mailing you paper copies (it’s better for the environment), and that your electronic agreement is the same as your signature on paper.

7. Termination

Termination By You. We’d hate to see you go, but you may terminate your account with Manitou Springs Chamber of Commerce (ManitouMade.com) at any time from your account settings. Terminating your account will not affect the availability of some of Your Content that you posted through the Services prior to termination. You’ll still have to pay any outstanding bills or balances.

Termination By Manitou Springs Chamber of Commerce (ManitouMade.com). We may terminate or suspend your account (and any accounts Manitou Springs Chamber of Commerce (ManitouMade.com) determines are related to your account) and your access to the Services should we have reason to believe you, your Content, or your use of the Services violate our Terms. If we do so, it’s important to understand that you don’t have a contractual or legal right to continue to use our Services, for example, to sell or buy on our websites or mobile apps. Generally, Manitou Springs Chamber of Commerce (ManitouMade.com) will notify you that your account has been terminated or suspended, unless you’ve repeatedly violated our Terms or we have legal or regulatory reasons preventing us from notifying you.

If you or Manitou Springs Chamber of Commerce (ManitouMade.com) terminates your account, you may lose any information associated with your account, including Your Content.

We May Discontinue the Services. Manitou Springs Chamber of Commerce (ManitouMade.com) reserves the right to change, suspend, or discontinue any of the Services at any time, for any reason, including those laid out in Manitou Springs Chamber of Commerce/ManitouMade.com’s policies under these Terms of Use. We will not be liable to you for the effect that any changes to the Services may have on you, including your income or your ability to generate revenue through the Services.

Survival. The Terms will remain in effect even after your access to the Service is terminated, or your use of the Service ends.

8. Warranties and Limitation of Liability

Items You Purchase. You understand that Manitou Springs Chamber of Commerce (ManitouMade.com) does not manufacture, store, or inspect any of the items sold through our Services. We provide the venue; the items in our marketplaces are produced, listed, and sold directly by independent sellers, so Manitou Springs Chamber of Commerce (ManitouMade.com) cannot and does not make any warranties about their quality, safety, or even their legality. Any legal claim related to an item you purchase must be brought directly against the seller of the item. You release Manitou Springs Chamber of Commerce (ManitouMade.com) from any claims related to items sold through our Services, including for defective items, misrepresentations by sellers, or items that caused physical injury (like product liability claims).

Content You Access. Though we cultivate tasteful and generally appropriate items, you may come across materials that you find offensive or inappropriate while using our Services. We make no representations concerning any content posted by users through the Services. Manitou Springs Chamber of Commerce (ManitouMade.com) is not responsible for the accuracy, copyright compliance, legality, or decency of content posted by users that you accessed through the Services. You release us from all liability relating to that content.

People You Interact With. You can use the Services to interact with other individuals, either online or in person. However, you understand that we do not screen users of our Services, and you release us from all liability relating to your interactions with other users. Please be careful and exercise caution and good judgment in all interactions with others, especially if you are meeting someone in person.

Third-Party Services. Our Services may contain links to third-party websites or services that we don’t own or control (for example, links to Facebook, Twitter, and Pinterest). You may also need to use a third party’s product or service in order to use some of our Services (like a compatible mobile device to use our mobile apps). When you access these third-party services, you do so at your own risk. The third parties may require you to accept their own terms of use. Manitou Springs Chamber of Commerce (ManitouMade.com) is not a party to those agreements; they are solely between you and the third party.

WARRANTIES. Manitou Springs Chamber of Commerce (ManitouMade.com) IS DEDICATED TO MAKING OUR SERVICES THE BEST THEY CAN BE, BUT WE’RE NOT PERFECT AND SOMETIMES THINGS CAN GO WRONG. YOU UNDERSTAND THAT OUR SERVICES ARE PROVIDED “AS IS” AND WITHOUT ANY KIND OF WARRANTY (EXPRESS OR IMPLIED). WE ARE EXPRESSLY DISCLAIMING ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AS WELL AS ANY WARRANTIES IMPLIED BY A COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE.

WE DO NOT GUARANTEE THAT: (I) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (III) THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL MATERIALS; OR (IV) THE RESULTS OF USING THE SERVICES WILL MEET YOUR EXPECTATIONS. YOU USE THE SERVICES SOLELY AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

LIABILITY LIMITS. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER Manitou Springs Chamber of Commerce (ManitouMade.com), NOR OUR EMPLOYEES OR DIRECTORS SHALL BE LIABLE TO YOU FOR ANY LOST PROFITS OR REVENUES, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS. IN NO EVENT SHALL Manitou Springs Chamber of Commerce (ManitouMade.com)’S AGGREGATE LIABILITY FOR ANY DAMAGES EXCEED THE GREATER OF ONE HUNDRED ($100) US DOLLARS (USD) OR THE AMOUNT YOU PAID Manitou Springs Chamber of Commerce (ManitouMade.com) IN THE PAST TWELVE MONTHS. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

We hope this never, ever, EVER happens, but if Manitou Springs Chamber of Commerce (ManitouMade.com) gets sued because of something that you did, you agree to defend and indemnify us. That means you’ll defend Manitou Springs Chamber of Commerce (ManitouMade.com) (including any of our employees) and hold us harmless from any legal claim or demand (including reasonable attorney’s fees) that arises from your actions, your use (or misuse) of our Services, your breach of the Terms, or you or your account’s infringement of someone else’s rights.

We reserve the right to handle our legal defense however we see fit, even if you are indemnifying us, in which case you agree to cooperate with us so we can execute our strategy.

10. Disputes with Other Users

If you find yourself in a dispute with another user of Manitou Springs Chamber of Commerce (ManitouMade.com)’s Services or a third party, we encourage you to contact the other party and try to resolve the dispute amicably and with professional courtesy.

Release of Manitou Springs Chamber of Commerce (ManitouMade.com). You release Manitou Springs Chamber of Commerce (ManitouMade.com) from any claims, demands, and damages arising out of disputes with other users or parties.

11. Disputes with Manitou Springs Chamber of Commerce (ManitouMade.com)

If you’re upset with us, let us know, and hopefully, we can resolve your issue. But if we can’t, then these rules will govern any legal dispute involving our Services:

  1. Governing Law. The Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules, and the laws of the United States of America. These laws will apply no matter where in the world you live, but if you live outside of the United States, you may be entitled to the protection of the mandatory consumer protection provisions of your local consumer protection law.
  2. Forum. We’re based in Manitou Springs, CO, so any legal action against Manitou Springs Chamber of Commerce (ManitouMade.com) related to our Services must be filed and take place in El Paso County, CO. For all actions under the AAA Rules, the proceedings may be filed where your residence is, or in El Paso County, Colorado, and any in-person hearings will be conducted at a location which is reasonably convenient to both parties taking into account their ability to travel and other pertinent circumstances. For any actions not subject to arbitration or mediation, you and Manitou Springs Chamber of Commerce (ManitouMade.com) agree to submit to the personal jurisdiction of a state or federal court located in El Paso County, Colorado if your contract is with Manitou Springs Chamber of Commerce (ManitouMade.com).
  3. Government Exception. If you are a government agent or entity in the United States using the Services in your official capacity, and you are legally unable to agree to the clauses in this section, then those clauses do not apply to you. In that case, the Terms and any action related to the Terms will be governed by the laws of the United States (without reference to conflict of laws) and, in the absence of federal law and to the extent permitted under federal law, the laws of the State of Colorado.

12. Changes to the Terms

We may update these Terms from time to time. If we believe that the changes are material, we’ll definitely let you know by posting the changes through the Services and/or sending you an email or message about the changes. That way you can decide whether you want to continue using the Services. Changes will be effective upon the posting of the changes unless otherwise specified. You are responsible for reviewing and becoming familiar with any changes. Your use of the Services following the changes constitutes your acceptance of the updated Terms.

13. Some Finer Legal Points

The Terms, including all of the policies that make up the Terms, supersede any other agreement between you and Manitou Springs Chamber of Commerce (ManitouMade.com) regarding the Services. If any part of the Terms is found to be unenforceable, that part will be limited to the minimum extent necessary so that the Terms will otherwise remain in full force and effect. Our failure to enforce any part of the Terms is not a waiver of our right to later enforce that or any other part of the Terms. We may assign any of our rights and obligations under the Terms.

14. Prohibited Items

  1. No shipping of alcohol.  Pickup only is permitted
  2. Tobacco products, smokeable products, e-cigarettes, and e-liquid.
  3. Drugs and certain herbal substances, including substances used for recreational and medicinal purposes, regardless of their legality.
  4. Drug paraphernalia, including, for example: items with a carburetor; slides and/or items with a slide; bongs and bubblers; vaporizers and their components.
  5. Medical drugs, regulated medical devices, and pharmaceuticals.

15. Social Media and Non-Discrimination Policy

We connect online and offline visitors around the country with our creative industries. In true Manitou Springs style, we want everyone to feel safe and welcome. This policy explains the kind of behavior we prohibit on Manitou Springs Chamber of Commerce (Manitou Made) to make sure we all have a positive and uplifting experience.

Manitou Springs Chamber of Commerce (Manitou Made) prohibits the use of our Services to discriminate against people based on the following personal attributes (collectively, “protected groups”):

  • Race
  • Color
  • Ethnicity
  • National origin
  • Religion
  • Gender
  • Gender identity
  • Sexual orientation
  • Disability
  • Any other characteristic protected under applicable law

It is your responsibility to know your local laws and any other legal regulations on discrimination that might apply to you. Additionally, Manitou Springs Chamber of Commerce (Manitou Made) does not allow hate speech. Hate speech occurs when violent, offensive, derogatory or demeaning language is directed at a person or group based on their one or more protected group attributes.

Whether you’re engaging with public features on Manitou Springs Chamber of Commerce (Manitou Made), such as listing items, using community spaces, and writing reviews, or having direct communication with other members of the Manitou Springs Chamber of Commerce (Manitou Made) community, such as via Messages, discrimination and hate speech are not allowed. As a seller on Manitou Springs Chamber of Commerce (Manitou Made), your shop content, including shop announcements and shop policies, cannot display discriminatory behavior toward protected groups. Examples of prohibited behavior include, but are not limited to:

  • Refusal of service based on membership in one or more protected group
  • Expressing intolerance or a lack of respect for another member on the basis of protected group attributes
  • Having a shop policy that excludes sales to members of one or more protected groups listed above
  • Directly or indirectly making derogatory or demeaning remarks against protected groups listed above
  • Racial slurs
  • Posts that support or glorify hate groups and their members

16. Specific Terms for Buyers

Understanding ManitouMade.com’s Limitations as a Venue

ManitouMade.com provides a venue for buyers to discover and purchase from sellers in Manitou Springs. It is important to note that ManitouMade.com is not a part of that transaction. By shopping on ManitouMade.com, you understand that:

  1. You are not buying directly from ManitouMade.com, but from one of the many talented sellers on ManitouMade.com;
  2. Manitou Springs Chamber of Commerce (ManitouMade.com)  does not pre-screen sellers and therefore does not guarantee or endorse any items sold on Manitou Springs Chamber of Commerce (ManitouMade.com)  or any content posted by sellers (such as photographs or language used in listings or shop policies);
  3. Each seller on Manitou Springs Chamber of Commerce (ManitouMade.com)  has their own processing times, shipping methods, and shop policies; and
  4. You assume responsibility if you provide your own materials for a custom order.

17. Communicating with Other Manitou Springs Chamber of Commerce (ManitouMade.com)  Members

Messages

You can use Manitou Springs Chamber of Commerce (ManitouMade.com) ’s Contact Seller tool to communicate directly with sellers or other Manitou Springs Chamber of Commerce (ManitouMade.com)  members. Messages are a great way to ask sellers any questions you have about an item or an order. Messages may not be used for the following activities:

  1. Sending unsolicited advertising or promotions, requests for donations, or spam;
  2. Harassing or abusing another member or otherwise violating our Anti-Discrimination Policy;
  3. Contacting someone after they have explicitly asked you not to; or
  4. Interfering with a transaction or the business of another member.

Interference

Interference occurs when a member intentionally interferes with another member’s shop in order to drive away their business. Interference is strictly prohibited on Manitou Springs Chamber of Commerce (ManitouMade.com) . Examples of interference include:

  1. Contacting another member via Manitou Springs Chamber of Commerce (ManitouMade.com)  Messages to warn them away from a particular member, shop, or item;
  2. Posting in public areas to demonstrate or discuss a dispute with another member;
  3. Purchasing from a seller for the sole purpose of leaving a negative review;

Harassment

Any use of Manitou Springs Chamber of Commerce (ManitouMade.com)  ‘Contact Seller’ to harass other members is strictly prohibited. Similarly, ‘Contact Seller’ may not be used to support or glorify hatred or otherwise violate our Anti-Discrimination Policy. If you receive a Message that violates this policy, please let us know right away.

18. Purchasing an Item on Manitou Springs Chamber of Commerce (ManitouMade.com)

When you buy from a shop on Manitou Springs Chamber of Commerce (ManitouMade.com) , you’re directly supporting an independent business, each with its unique listings, policies, processing times, and payment systems. By making a purchase from a seller on Manitou Springs Chamber of Commerce (ManitouMade.com) , you agree that you have:

  1. Read the item description and shop policies before making a purchase;
  1. Submitted appropriate payment for item(s) purchased; and
  2. Provided accurate shipping information to the seller.

19. Leaving a Review of a Store

Reviews are a great way to learn about a seller’s items, help good sellers build a strong reputation, or help warn other buyers about a poor experience. You can leave a review, including a one to five star rating and a photograph of your purchase. By leaving a review or photograph, you acknowledge that your content may not:

  1. Contain private information;
  2. Contain obscene, racist, or harassing language or imagery;
  3. Violate our Anti-Discrimination Policy;
  4. Contain prohibited medical drug claims;
  5. Contain advertising or spam;
  6. Be about things outside the seller’s control, such as a shipping carrier, Manitou Springs Chamber of Commerce (ManitouMade.com) , or a third party;
  7. Contain threats or extortion;
  8. Falsely inflate a shop’s review score; or
  9. Undermine the integrity of the Reviews system.

By uploading a photograph to one of Manitou Springs Chamber of Commerce (ManitouMade.com) ’s website you warrant that:

  1. You own the photograph or you have the rights or permission to use the photograph; and
  2. You understand that, as stated in Manitou Springs Chamber of Commerce (ManitouMade.com) ’s Terms of Use, Manitou Springs Chamber of Commerce (ManitouMade.com)  has license to use any content you provide to Manitou Springs Chamber of Commerce (ManitouMade.com).

Sellers may respond to reviews of three or fewer stars. Sellers’ responses to reviews must also comply with this policy. Sellers may hide photographs that they do not feel accurately represent their brand, or they may report reviews that violate our Terms of Use.

We reserve the right to remove reviews or photographs that violate our policies or Terms of Use.

20. Reporting a Problem with an Order or Returning an Item

All disputes about transactions are handled directly with their store owner, not Manitou Springs Chamber of Commerce (ManitouMade.com).

21. Requesting a Cancellation

Only sellers may cancel transactions. Buyers may request that a seller cancel an order via Manitou Springs Chamber of Commerce (ManitouMade.com)  ‘Contact Seller’. Note that all cancellations must comply with our Anti-Discrimination Policy.

22. Specific Terms for Sellers

Payment Processing Fees

Standard credit/debit card processing fees will be assessed on all transactions using Paypal as our payment processor.

Merchants will request the funds from Paypal for a buyer’s purchase minus the credit/debit card transaction fee. Our payment processing fees are 4.5% + $0.30 transaction fee for each sale.

Taxes

It is the sellers responsibility to correctly assign tax status to their goods and services at product setup. If you have questions, please ask us.
